SOHSH Freelancer Terms & Conditions

These Terms & Conditions apply to all freelance contractors (“Freelancer”) engaged by SOHSH for content creation, editing, or related services.
1. Engagement & Relationship

The Freelancer is engaged as an independent contractor, not an employee or agent of SOHSH.

The Freelancer is responsible for their own tax, national insurance, and relevant legal obligations.
2. Scope of Work

Work will be agreed on a per-project basis with defined deliverables, timelines, and payment terms.

The Freelancer agrees to follow SOHSH’s creative direction, shot lists, and brand guidelines.
3. Confidentiality

All client and project information must remain confidential.

No content, strategy, or materials shared by SOHSH or its clients may be reused or disclosed.
4. Content Ownership

All raw and edited content created under SOHSH projects is the intellectual property of SOHSH or its clients.

Freelancers waive moral rights unless otherwise agreed in writing.

Use of any SOHSH-related content in personal portfolios or social media is permitted with credit, either via tag, collaborator post, or clear mention of SOHSH.
5. Conduct & Standards

Freelancers must maintain professionalism, punctuality, and discretion.

Appropriate attire and respectful behaviour are expected during all client-facing engagements.
6. Deadlines & Communication

Deliverables must be submitted by agreed deadlines.

Delays must be communicated to SOHSH as early as possible.

Persistent missed deadlines may result in termination of future work.
7. Payment Terms

Payment terms will be agreed per project.

Invoices must be submitted promptly and will be paid within 14 days of receipt.
8. Use of Equipment

Freelancers are responsible for their own equipment unless otherwise arranged.

Any borrowed SOHSH equipment must be returned in original condition.
9. Client Interaction
-
Freelancers may not pitch, promote, or solicit work from SOHSH clients directly.

All project communications should go through SOHSH unless authorised otherwise.
10. Cancellations
-
If a Freelancer needs to cancel a confirmed shoot, a minimum of 7 days’ notice must be given in writing.

The Freelancer must proactively suggest a suitable replacement with similar experience and availability. SOHSH will have final approval.

Cancellations with less than 7 days’ notice — or failure to provide a replacement — may impact future opportunities unless due to serious illness or exceptional circumstances.

SOHSH may cancel shoots due to weather, client changes, or other reasons. Partial payment may be made if prep work has been completed.

Repeated or last-minute cancellations may result in removal from SOHSH’s freelancer roster.
11. Insurance & Liability

Freelancers must hold valid public liability and professional indemnity insurance.

SOHSH is not liable for any injury, damage, or loss incurred during a shoot.
12. Termination
-
SOHSH may terminate immediately for misconduct, breach of contract, or poor performance.
13. Governing Law
-
These Terms are governed by the laws of England and Wales.
-
Disputes will be addressed through negotiation or mediation where possible.
14. Agreement
By accepting a project with SOHSH, the Freelancer confirms they have read, understood, and agreed to these Terms & Conditions.
